A RESOLUTION APPROVING CERTAIN POLLUTION CONT'ROL FACII.ITIIES, Tf�
ISSUANCE BY Tf-IE COUNTY OF GIBSON, INDIANt� OF TTS POLLUTION CONTROL
REVENUE BONDS (TOYOTA MOTOR MANUFACTURING, INDIAN� PROTECT), IN ONE
OR MORE SERIES, AND TI� PLAN OF FINANCING, AND APPROVING AND
AUTHORTZING OTf-IER ACTIONS IN RESPECT Tf�RETO.
WHEREAS, the County of Gibson, Indiana (the "County"), is authorized by Indiana Code
36-7-11.9 and 36-7-12 (collectively, the "Act") to issue revenue bonds under the Act for pollution
conuol facilities (as defined in the Act) to accomplish the purposes of the Act, and to make a loan
of the proceeds from such bonds to a user (as defined in the Act) for the cost of acquisition,
construction or installation of pollution control facilities, with such loan to be secured by the pledge
of an obligation of such user, and
Wi�REAS, the Act de5nes "pollution control facilities" to include facilities for the
abatement, reduction or prevention of pollutioq or the removal or treatment of any substances in
materials begin processed that otherwise would cause pollution when used; and
WI�REAS, the Act provides that the Snancing of pollution control facilities that promote
a substantial likelihood of the abatement, reducdon or prevention of pollution, or the removal or
ueazmert of substances in materials being processed that otherwise would cause pollution when used,
secves a public purpose and will be of bene8t to the health or general welfaze of the unit proposing
to issue bonds for the financing or of the unit where the facilities that are to be financed are located;
and •
WHEREAS, Toyota Motor Manufacturing, Indiana, Inc., an Indiana corporation (such
corporation or any affiliate thereo� "Toyota"), has advised the Gibson County Economic
Development Convnission (the "Cortvnission") that it proposes that the County issue revenue bonds
under the Act for pollution control facilities to accompGsh the purposes of the Act, and to make a
loan of the proceeds from such bonds to Toyota for the cost of acquisition, construction and
installation of certain pollution control facilities, which pollution control facilities will consist of soGd
waste disposal facilities and sewage disposal facilities, including systems constructed or to be
constructed for the purpose of collection, treatment, storage, processing, disposal or recycling of
waste, including industrial sewage, solid waste and other plant emissions, including stamping waste,
body shop waste, welding shop waste, assembly area waste, paint shop waste, parts fabrication waste,
and other industrial waste produced by manufacturing operations, which systems include, but are not
limited to, a wastewater collection and transfer syster� a wastewater treatment system, stamping azea
waste systems, welding shop waste systems, assembly shop waste systems, paint shop waste systems
and other plant waste systems, together with any functionally related and subordinate facilities,
including piping, pumps, valves, motors, ducts, lighting and safety equipment, mechanical and
elecffical suxiliaries, related plant infrastructure, controls and instrumentation, related structures and
swctural components, associated site development, land and other facilities necessary or appropriate
to the operation or maintenance of such solid waste disposal facilities and sewage disposal facilities,
and any replacements or substitutions for such wlid waste disposal facilities and sewage facilities,

which solid waste disposal facilities and sewage disposal facilities will be owned and operated by
Toyota and located on approximately 1200 acres of land bounded on the west by US 41, bounded
on the north by County Road 350 South, bounded on the east by County Road 100 East as if
extended to County Road 350 South, and bounded on the south by an 81 acre tract of property
Imown as Schumei� Farms and a 10.1 acre tract of property owned by the Town of FoR Branch, in
Gibson Counry, Indiana (such pollution control facilities, the "Project"); and
WFIEREAS, this Board of Commissioners desires that the County issue its County of Gibson,
Indian� Pollution Control Reverme Bonds (Toyota Motor Manufacturing, Indiana, Project), in one
or more s�ies, in an aggregate principal amount not to exceed Forty Ivlillion Dollazs ($40,000,000)
(the "Bonds"), to Snance the cost of acqwsitioq construction and installation of the Project (the "Plan
of Financing"); and
WHEFtEAS, the Commission conducted a public hearing on the Project and the issuance of
the Bonds on February 25, 1997, pursuant to Indiana Code Section 36-7-12-24 and Section 147(�
of the Intemal Revenue Code of 1986, as amended; now, therefore:
BE TT RESOLVED BY THE BORAD OF COMA�IISSIONRS OF THE COUNTY OF
GIBSON, INDIANA:
SECTION 1. This Board of Commissioners hereby ratifies and approves the
appointment of the Commission to conduct a pubGc hearing on the Project and the
issuance of the Bonds.
SECTION 2. The Board of Cortunissioners hereby approves the Project, the issuance
of the Bonds and the Plan of Financing.
SECTION 3. This Resolution shall be in full force and effect upon adoption and
compliance with Indiana Code Section 36-2-4-8.
The foregoing was passed by The Board of Commissioners of the County of Gibsoq Indiana, this
15th day of September, 1997.
