RESOLUTION OF THE
COUNTY OF GIBSON COUNTY, INDIANA
APPROVING ABATEMENT FOR
WINDSOR MACHINE AND STAMPZNG (US) LTD.
WHEREAS, the County Council of Gibson County, Indiana, by
Resolution No. 1998-2 designated an area owned by Mike Crabtree
with in the county of Gibson County as an economic revitalization
area pursuant to IC 6-1.1-12.1-1 et sea; and
WHEREAS, the above described area has been designated as an
economic revitalization area to encourage new building, the
installation of new manufacturing equipment, and the redevelopment
of an industrial area or the rehabilitation of existing properties;
and
WHEREAS, the County Council of Gibson County, Indiana,has been
advised by Windsor Machine & Stamping (US) Ltd. of a proposed
revitalization project, which includes installation of new
manufacture equipment in the above-described economic
revitalization area; and
WHEREAS, the County Council of Gibson County, Indiana, has
reviewed the statement of benefits included in Exhibit A and the
information brought to its attention, and hereby determines that
the deductions under IC 6-1.1-12.1-3 and IC 6-1.1-12.1-4-5 should
be allowed based on the following findings:
(1) The estimate of the value of the redevelopment or
rehabilitation is reasonable for projects of that nature.
(2) The estimate of the number of individuals who will be
employed or whose employment will be retained can be
reasonably expected to result from the proposed described
redevelopment or rehabilitation.

(3) The estimate of the annual salaries of those individuals
who will be employed or whose employment will be retained
can be reasonably expected to result from the proposed
described redevelopment rehabilitation.
(4) The number of individuals opportunities for employment,
both temporary and permanent, and the compensation to be
paid to employees, along with the value of the
acquisition and construction of improvements, create
benefits of the type and quality anticipated by the
County Council of Gibson County, Indiana, within the
economic revitalization area and can reasonably be
expected to result from the proposed described redevelop-
ment or rehabilitation.
(5) The totality of benefits is sufficient to justify the
deductions.
AND WHEREAS, the County Council of Gibson County, Indiana,
hereby finds the purposes of IC 6-1.1-12.1 are served by allowing
Windsor Machine & Stamping (US) Ltd. the deductions provided by
IC 6-1.1-12.1-3 and IC 6-1.1-12.1-4.5 for a period of five (5)
years.
NOW, THEREFORE, BE IT RESOLVED by the County Council of Gibson
County, Indiana, that:
l. Windsor Machine & Stamping (US) Ltd. shall be entitled to
the deductions provided by IC 6-1.1-12.1-4.5 for a period of five
(5) years with respect to personal property which is installation
of new manufacturing equipment by and reflected in Exhibit A.
2. The members of the County Council of Gibson County,
Indiana, shall be and hereby are authorized to execute any and all
documentation necessary to substantiate application by TAI for tax

My name is Jim Stephens; I' m the Chairman of the Boazd of the Gibson County
Economic Development Corporation. Pm here this morning on behalf of another
opportuniry to employ more of our residenu, and to collect ta�c dollars into our Gibson
Counry economy which will benefit those of us taxpayers living in Gibson County. I'm
here to present to you an opportwiity to have a$600 thousand investrnent into Gibson
Couoty and an opportunity to initially employ 25 people within our region and ramping
up to 130 residents. We have an opportunity to welcome the occupation of an industrial
building in our counry that has sat empry for almost a yeaz. We have an opportunity to
welcome V✓indsor Machine Group.
Windsor Machine Group bas all the in-house capabilities to design and engineer many
product lines. They aze a one stop shop for engineering 202a compliant head restraint
systems, flip and fold headrest mechanisms, and many other products. Windsor Machine
Group is committed to manufacturing quality products based on their customers'
specifications. The products will be produced in a safe work envuonment at established
standards and delivered on-time. Their operating philosophy is to form mutually
beneficial long-term relationships with their customers, suppliers and employees.

Roughly three months ago Windsor started looking for a site and our region made the
short list. As they seazched our region it was obvious a piece of property, ready to go
with minor changes, left a lasting impression. At that time the maximum number ofjobs
to fill their facility was 30. Since that time other opportunities for this facility have made
themselves available, thus 130 positions aze now projected within two years. Ironically,
construction positions may be necessary as they ask the property owner to expand the
production faculry to accommodate the increased manpower and products. Thus
eventually additional employment may come to our county. These aze 130 people that
may be looking for a job today and we can give it to them, today. We can give it to them
dght now. Windsor is considering leasing property in Gibson County, moving their
equipment here in December and starting production in January of 2010; a little
construction tune, then production time.
Employee wages will average $15 an hour. In addition these figures DO NOT include
fringe benefits which Windsor does pay.
Gibson Counry is Windsors fvst, but not only, choice. Windsor has been considering
Tennessee and Mexico for this operation. The Gibson County Economic Development
Corporation would like to provide ttus type of corporate citizen to the residents of Gibson
County. To do so the Gibson Counry Council will need to provide the new facility with
ta�c incentives.
As the Chairman of Gibson County's Economic Development organization I submit to
you a plan [o phase-in new personal property tases over a�-year period. As you will see
in the yeaz 2010 Windsor Machine Company will pay no personal property taxes to the
counry and will then elevate to $4,149 oF new taxes to the county by the yeaz 2014.
T�payers of Gibson County will find relief in their taxes over the 5 yeaz ume of $12,308
which will be paid by Windsor over that period. These are all new taxes and new jobs.
At this time I ask the Gibson Counry Council to advertise for a public meeting to take
place on Tuesday, November 24 for approval of this new project with the incentives
necessary to bring these new jobs, new investment and new additional tax dollars to
Gibson County and not Tennessee or Mexico.
